Terms of Service, Privacy Policy, and Data Processing Agreement
Spontive Platform's current legal terms for account creation, workspace use, privacy handling, and customer data processing responsibilities.
Part 1. Terms of Service
Effective Date: March 22, 2026
Welcome to Spontive. These Terms of Service ("Terms") govern your access to and use of Spontive's platform, products, and services ("Services"), including but not limited to Spontive Core, Spontive Approvals, and related systems. By accessing or using the Spontive Platform, you agree to these Terms.
1. About Spontive
Spontive Technologies Limited ("Spontive", "we", "us", or "our") provides the Spontive Platform, an Organizational Operating Intelligence (OOI) platform composed of integrated products that help organizations structure decisions, manage commitments, structure execution, and improve operational intelligence.
Spontive Platform means the Organizational Operating Intelligence (OOI) platform composed of multiple integrated products, including Spontive Core and other supporting systems.
Spontive Core means the operating intelligence engine within the Spontive Platform that captures and structures organizational decisions, commitments, execution, and outcomes.
2. Eligibility
- You must be at least 18 years old.
- You must have authority to represent your organization if using Spontive on behalf of one.
3. User Accounts and Workspaces
- Users create accounts and may belong to one or more workspaces.
- Workspaces represent organizations or teams.
- The organization controls users, data access, and permissions.
- You are responsible for maintaining account security.
- You are responsible for all activity under your account.
4. Data Ownership
4.1 Customer Data. All data submitted to Spontive ("Customer Data") remains the property of the customer or organization. This includes decisions, commitments, context objects, uploaded files, and operational data.
4.2 Spontive Rights. You grant Spontive a limited license to process, store, and analyze Customer Data solely for the purpose of delivering and improving the Services.
5. Data Processing Role
- Spontive acts as a Data Processor when processing organizational data on behalf of customers.
- Spontive acts as a partial Data Controller for account, billing, and system analytics data.
6. Acceptable Use
You agree not to:
- Use the platform for illegal activities.
- Upload harmful or malicious code.
- Attempt unauthorized access to systems or data.
- Misuse the platform to harm others.
7. Decision Support Disclaimer
Spontive provides organizational intelligence tools. We structure information, support analysis, and enable tracking, execution, and operational visibility. We do not make decisions on your behalf and do not assume responsibility for outcomes. All decisions and actions remain the responsibility of the user or organization.
8. Data Security
We implement reasonable safeguards, including encryption in transit and at rest where applicable, access control systems, and monitoring and logging. However, no system is completely secure.
9. Service Availability
We aim for high availability, but do not guarantee uninterrupted access or error-free performance. We may modify features, perform maintenance, and improve systems over time.
10. Termination
We may suspend or terminate access if these Terms are violated, there is a security risk, or we are required to do so by law. Users may terminate their accounts at any time.
11. Limitation of Liability
To the maximum extent permitted by law, Spontive shall not be liable for indirect damages, loss of profits, business interruption, or decision outcomes.
12. Governing Law
These Terms are governed by the laws of the United Republic of Tanzania.
13. Changes to Terms
We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
Part 2. Privacy Policy
Effective Date: March 22, 2026
This Privacy Policy explains how the Spontive Platform collects, uses, and protects personal data.
1. Platform Definitions
Spontive Platform means the Organizational Operating Intelligence (OOI) platform composed of integrated products, including Spontive Core and other supporting systems.
Spontive Core means the operating intelligence engine within the Spontive Platform that captures and structures organizational decisions, commitments, execution, and outcomes.
2. Data We Collect
1.1 Account Data. Name, email address, job title, and organization details.
1.2 Usage Data. Platform interactions, feature usage, logs, and system activity.
1.3 Customer Data. Data uploaded or generated within the platform, including decisions, commitments, documents, and operational records.
3. How We Use Data
- Provide and operate the Services.
- Improve product performance.
- Ensure security.
- Communicate with users.
- Comply with legal obligations.
4. Data Sharing
We do not sell user data. We may share data with infrastructure providers, legal authorities when required, and service providers operating under strict confidentiality obligations.
5. Data Storage
Data may be stored in secure servers located in the EU, currently in Frankfurt, Germany, based on Spontive's current Fly.io hosting region configuration. We take steps to ensure lawful cross-border data handling.
6. User Rights
Depending on the jurisdiction, users may have the right to access their data, request corrections, request deletion, or object to processing. Requests can be made via contact@spontivetechnologies.co.tz.
7. Data Retention
We retain data as long as accounts are active and as required for legal or operational purposes.

Part 3. Data Processing Agreement (DPA)
Effective Date: March 22, 2026
This Data Processing Agreement ("Agreement") forms part of the Terms of Service between Spontive Technologies Limited ("Processor", "Spontive") and the Customer / Organization ("Controller").
1. Platform Definitions
Spontive Platform means the Organizational Operating Intelligence (OOI) platform composed of integrated products, including Spontive Core and other supporting systems.
Spontive Core means the operating intelligence engine within the Spontive Platform that captures and structures organizational decisions, commitments, execution, and outcomes.
2. Purpose
This Agreement governs the processing of personal data by Spontive on behalf of the Customer in connection with the use of the Spontive Platform and Services.
3. Definitions
- Personal Data: Any information relating to an identified or identifiable individual.
- Processing: Any operation performed on data, including collection, storage, use, and analysis.
- Controller: The entity determining the purposes and means of processing, being the Customer.
- Processor: The entity processing data on behalf of the Controller, being Spontive.
4. Scope of Processing
3.1 Nature and Purpose. Spontive processes data to provide organizational intelligence services, structure organizational data such as decisions, commitments, context, and execution records, and enable tracking, analytics, and operational insights.
3.2 Categories of Data. Data may include names, email addresses, job titles, organizational roles, and content entered into the platform such as documents, decisions, notes, strategies, and policies.
3.3 Data Subjects. Data subjects may include employees, contractors, and users of the Customer organization.
5. Obligations of Spontive (Processor)
4.1 Process on Instructions Only. Spontive will process Personal Data only based on documented instructions from the Customer.
4.2 Confidentiality. Spontive will ensure all personnel accessing data are bound by confidentiality obligations.
4.3 Security Measures. Spontive will implement appropriate technical and organizational measures, including encryption in transit and at rest where applicable, access controls and authentication, monitoring and logging systems, and secure infrastructure.
4.4 Subprocessors. Spontive may use subprocessors, such as cloud providers, and will ensure they meet equivalent data protection standards while remaining responsible for their compliance.
4.5 Data Breach Notification. Spontive will notify the Customer without undue delay upon becoming aware of a data breach and provide relevant details and mitigation steps.
4.6 Assistance to Controller. Spontive will assist, where reasonable, with data subject requests, compliance obligations, and security and risk assessments.
6. Obligations of Customer (Controller)
The Customer shall:
- Ensure lawful basis for data processing.
- Provide clear instructions to Spontive.
- Ensure data accuracy and legality.
- Manage user permissions and access.
7. Data Subject Rights
Spontive will support the Customer in fulfilling rights such as access, rectification, erasure, and restriction of processing. Requests should be submitted via the Customer.
8. Data Transfers
Data may be processed or stored in jurisdictions outside Tanzania. Spontive will ensure appropriate safeguards for international transfers and use reputable infrastructure providers.
9. Data Retention and Deletion
Upon termination of services, the Customer may request data export. Spontive will delete or anonymize data within a reasonable period, unless legally required to retain it.
10. Audits
Spontive will provide reasonable information demonstrating compliance and allow audits where necessary and agreed upon in advance.
11. Liability
Each party is responsible for its own compliance with applicable data protection laws. Spontive's liability is subject to the limitations outlined in the Terms of Service.
12. Governing Law
This Agreement is governed by the laws of the United Republic of Tanzania.
13. General
This Agreement remains in effect for as long as Spontive processes Personal Data on behalf of the Customer.
